ZIPPER TRANSIT TERMS OF SERVICE

ACCEPTANCE OF TERMS

By downloading, registering, or using Zipper Transit (“the App”), you agree to these Terms and Conditions. If you do not agree, you must discontinue use immediately.

DEFINITIONS AND INTERPRETATION

  • "User": Refers to any individual or entity using the App to request services.
  • “Professional” or “Pro”: Refers to any service provider listed on the App.
  • "Services": Refers to home or on-site services requested through the App.
  • “Material Payment”: Means funds designated for the purchase of materials.
  • “Service Payment”: Means funds designated for the labour or services rendered.
  • “App Payment”: Means payment made securely through the Zipper Transit platform.

USER OBLIGATIONS

  1. Users must ensure accuracy of details provided in the App.

  2. Following a Pro outside your stated location, or granting access to your property beyond the service location, is at your sole risk.
  3. Users must inspect materials before releasing Material Payments to the Pro.
  4. Users must confirm that a job is fully completed before releasing Service Payments.
  5. Offline payments or direct bank transfers to Pros are strictly discouraged. Such payments are at the User’s risk.
  6. If you previously used a Pro via the App and later engage the Pro privately without using the App, you assume all risks of payment disputes or scams.

PROFESSIONAL RESPONSIBILITIES

  1. Duty of Care: Professionals are required to perform their services with due diligence and in accordance with applicable industry standards and best practices.

  2. Accuracy of Information: Professionals warrant that all information provided on the Platform, including but not limited to qualifications, services, and availability, is truthful, accurate, and not misleading.

  3. Communication Protocols: Professionals must ensure clear and timely communication with customers, particularly regarding service availability. They must manage expectations using the availability button (online/offline).

  4. Pre-Contractual Agreement: Professionals must ensure that all payment terms are agreed upon with the customer before rendering services. Any undisclosed fees or charges are strictly prohibited.
  5. Pros must only accept jobs and payments through the App.
  6. Pros are prohibited from requesting or accepting offline payments or direct bank transfers from Users.
  7. Pros must not request Material Payments until materials are available for inspection.
  8. Any breach, including soliciting Users outside the App, may result in suspension or termination of the Pro’s account.

PAYMENTS AND FEES

  1. Payment Processing: All payments for services related to boosting business visibility (Silver and Gold) on the Platform are processed through Zipper Transit Technologies and are non-refundable.

  2. Transaction Verification: Users must verify the accuracy of all transaction amounts and reference numbers before confirming payments.

  3. Irrevocability: Payments for business boosting, Zipper Transit IDs, and badges are final, non-cancellable, and non-amendable.

  4. Refill Transactions: Users must contact service providers directly to resolve any disputes related to refill transactions. Zipper Transit will not be liable for such disputes.

DISPUTE RESOLUTION

  1. Fraud and Legal Violations: Zipper Transit reserves the right to investigate and pursue legal action for suspected fraud or other violations of applicable laws.

  2. Mediation and Arbitration: In the event of a dispute arising from or related to the Platform, parties shall first attempt mediation facilitated by Zipper Transit or a neutral third party. If mediation fails, the dispute shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria.

DATA PROTECTION AND PRIVACY

  1. Compliance with NDPR: All personal data collected by Zipper Transit is processed in accordance with the Nigerian Data Protection Regulation (NDPR) 2019. Users consent to the collection, use, and processing of their personal data as described in Zipper Transit's Privacy Policy.

  2. User Content: Users may post content, including but not limited to text, photos, and videos ("User Content"). By doing so, Users grant Zipper Transit a worldwide, perpetual, irrevocable, and royalty-free license to use, modify, adapt, and share such content for legitimate business purposes.

  3. Confidentiality of Communications: Private communications between Users are treated as confidential and will not be used for advertising purposes.

INTELLECTUAL PROPERTY RIGHTS

All content, trademarks, service marks, logos, and other intellectual property displayed on the Platform ("Zipper Transit Content") are the exclusive property of Zipper Transit Technologies Limited and are protected by applicable copyright, trademark, and other intellectual property laws. Unauthorized use of Zipper Transit Content is prohibited and may result in legal action.

DISCLAIMERS AND WARRANTIES

  1. No Warranty: The Platform and all services are provided "as-is" and "as-available". Zipper Transit disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

  2. Limitation of Liability: Zipper Transit shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform, to the fullest extent permitted by law.

TERMINATION OF SERVICE

Zipper Transit reserves the right to suspend or terminate your access to the Platform at its sole discretion, with or without notice, for any reason, including but not limited to breaches of these Terms. Termination does not affect accrued rights or obligations.

JURISDICTION AND GOVERNING LAW

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Any legal actions arising from these Terms shall be brought exclusively before competent courts in Nigeria.

AMENDMENTS AND MODIFICATIONS

Zipper Transit reserves the right to amend or modify these Terms at any time. Changes will be communicated through updates posted on the Platform or by other appropriate means. Continued use of the Platform after changes take effect constitutes acceptance of the amended Terms.

INDEMNIFICATION AND RELEASE

You agree to indemnify and hold harmless Zipper Transit Technologies Limited, its affiliates, officers, directors, employees, and agents from any claims, damages, or losses arising from your use of the Platform or violation of these Terms, including but not limited to third-party intellectual property rights.
